Nothing in these Terms transfers any intellectual property rights to you. All rights, title, and interest in and to the Service and its content remain solely with Celfcare and its licensors. Celfcare reserves the right, in its sole discretion, to determine what constitutes a violation of this section and to take appropriate action, including suspension or termination of your access to the Service.

Where the use of any part of the Service requires an account, you agree to provide accurate, current, and complete information at registration and to keep such information updated at all times. You are solely responsible for:

•        All activity that occurs under your account, whether or not authorised by you.

•        Notifying us immediately at info@celfcare.in upon becoming aware of any unauthorised use of your account or any other breach of security.

 

Celfcare shall not be liable for any loss or damage arising from your failure to maintain the security of your account. We reserve the right to disable any account at any time if, in our sole opinion, you have failed to comply with these Terms.

The Service may integrate or link to third-party websites, services, products, software, or applications not owned or controlled by Celfcare ("Third-Party Services"). Celfcare has no control over, and assumes no responsibility for, the content, privacy policies, accuracy, or practices of any Third-Party Services.

 

Your use of any Third-Party Service is entirely at your own risk and is subject to the terms and conditions of that third party. Celfcare expressly disclaims all liability for any damage or loss caused or alleged to be caused by your use of or reliance on any Third-Party Services.

 

The inclusion of any link to a Third-Party Service does not imply endorsement by Celfcare of that service or any association with its operators.

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CELFCARE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING:

•        Any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

•        Any warranty that the Service will be uninterrupted, timely, secure, or error-free.

•        Any warranty regarding the accuracy, reliability, or completeness of any content or information provided through the Service.

•        Any warranty that any defects in the Service will be corrected.

 

You assume all risk associated with your use of the Service, including any reliance on the accuracy, completeness, or usefulness of any content.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CELFCARE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, OR SYSTEM FAILURE, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF CELFCARE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

 

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CELFCARE'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT PAID BY YOU TO CELFCARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) INR 500 (FIVE HUNDRED RUPEES).

 

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability. In such jurisdictions, the above exclusions and limitations shall apply to the fullest extent permitted by law.

8. Indemnification

You agree to defend, indemnify, and hold harmless Celfcare and its officers, directors, employees, contractors, agents, licensors, and successors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or relating to:

•        Your access to or use of the Service.

•        Your violation of any provision of these Terms.

•        Your violation of any third-party right, including any intellectual property, privacy, or proprietary right.

•        Any content you submit, post, or transmit through the Service.

•        Your violation of any applicable law or regulation.

 

This indemnification obligation will survive the termination of these Terms and your use of the Service.

9. Termination

Celfcare may, at its sole discretion, immediately terminate or suspend your access to all or any part of the Service at any time, with or without cause, with or without notice, without incurring any liability to you.

 

If you wish to terminate your account, you may do so by discontinuing use of the Service and contacting us at info@celfcare.in to request account deletion.

 

Upon termination, all licences and rights granted to you under these Terms will immediately cease. Provisions of these Terms that by their nature should survive termination shall do so, including, without limitation: Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law.

10. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of India. The parties irrevocably submit to the exclusive jurisdiction of the courts located in [YOUR CITY, INDIA] for the resolution of any disputes arising out of or relating to these Terms or your use of the Service.

11. Changes to Terms

Celfcare reserves the right, at its sole discretion, to modify, replace, or update these Terms at any time. Where changes are material, we will endeavour to provide at least fourteen (14) days' notice by posting an update on the Service or by sending you an email notification.

 

Your continued use of the Service after any such changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service before the changes take effect.

12. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions of these Terms shall continue in full force and effect.

13. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by Celfcare on the Service, constitute the entire agreement between you and Celfcare with respect to your use of the Service, and supersede all prior or contemporaneous agreements, representations, warranties, and understandings with respect to the Service.

14. No Waiver

No failure or delay by Celfcare in exercising any right or remedy under these Terms shall operate as a waiver of that right or remedy, nor shall any single or partial exercise of any right or remedy preclude any other or further exercise thereof or the exercise of any other right or remedy.
